FRB Extends Comment Period on Insider Lending Proposal to Nov. 4

The Federal Reserve Board ("FRB") extended by 30 days to November 4, 2026, the comment period on its proposal to amend Regulation O ("Loans to Executive Officers, Directors, and Principal Shareholders of Member Banks"). Comments were originally due by October 5, 2026.

The FRB said commenters asked for more time after the proposal was published in the Federal Register on August 4, 2026. The extension gives parties added opportunity to consider the proposal and prepare comments.

Regulation O governs loans by member banks to their insiders - meaning executives, board members, and major shareholders - and to insiders of their affiliates. The proposal would update dollar-based thresholds and index them going forward. It would also address how the rule applies to member banks that lend to companies presumed to be controlled by large asset managers through passive investment funds (see prior coverage).

The FRB said the proposal would also clarify requirements, incorporate existing interpretations and statutory requirements, and reorganize the regulation to make it more accessible.

Comments may be submitted by any method identified in the original proposal.
