Certain Offers of Security-Based Swaps Do Not Require Registration under the Securities Act (Fed. Reg.)
The SEC-proposed rule regarding certain offers of security-based swaps that do not require registration under the SecuritiesAct was published in the Federal Register.
The proposed rule provides that certain communications involving security-based swaps that may be purchased only by eligible contract participants will not be deemed to constitute offers for purposes of Securities Act Section 5 ("Prohibitions Relating to Interstate Commerce and the Mails"), and thus would not be subject to the prospectus delivery or registration requirements of the Securities Act.
Comments on the proposed rule must be submitted by November 10, 2014.
